REED ELECTRONICS RESEARCH - TERMS AND CONDITIONS

1. OWNERSHIP

End-User agrees that Reed Electronics Research retain all proprietary right, title or interest, including
copyright, in the content and related statistical databases, including but not limited to text, images,
and other multimedia data.

2. RESTRICTIONS ON USE

Distribution of the content within the End-User organisation is permitted only if the appropriate
Corporate License is purchased. The Corporate License allows the End-User to place the content
onto their internal Intranet without limitation on the number of users. Access or distribution of the
content to third parties is not permitted.

Reproduction or disclosure in whole or in part to parties other than the Reed Electronics Research
client who is the original subscriber to the content is permitted only with the written and express
consent of Reed Electronics Research.

Reed Electronics Research reserves the right to cancel your subscription or contract in full, if its
information is copied or distributed to other divisions of the subscribing company, without the
appropriate Corporate License, or to third parties without the written approval of Reed Electronics
Research.

3. NO WARRANTY

The information is provided by Reed Electronics 'as is' and 'with all faults.' Reed Electronics Research
makes no representations or warranties of any kind concerning the accuracy, completeness or
suitability of the information, either express or implied, including without limitation any implied
warranties of merchantability or fitness for a particular purpose.

4. LIMITATION OF LIABILITY

Reed Electronics Research shall not be liable under any circumstances or under any legal theory for
any direct, indirect, punitive, special, incidental or consequential damages that may be suffered by
you or any other user of the site in connection with or as a result of the information or the products,
regardless of how such damages may arise and even if Reed Electronics Research has been
previously advised of the possibility of such damages.

5. INDEMNIFICATION

End-User shall indemnify and hold harmless Reed Electronics Research against any claim, damages,
loss, liability or expense, including attorney’s fees, arising out of End-User’s use of the Content in any
way contrary to this Agreement.
